1. Scope

These terms govern the purchase and use of the software "Tango Juliet" (the "Software") between 24 Millimeter Filmproduktion Matthäus Weißenbacher (the "Provider") and the licensing individual or company (the "Customer").

The purchase itself is processed by Paddle.com Market Ltd, acting as our Merchant of Record — Paddle is your contracting party for the payment, issues the invoice, and handles applicable sales tax/VAT. The Paddle Buyer Terms apply in addition to these terms for the purchase transaction itself.

3. Description of Service

Tango Juliet is a locally installed macOS application for managing film productions (projects, clients, partners, time tracking, Kanban board, folder structure generator, and more). All data is stored exclusively on the Customer's own device; there is no cloud sync and the Provider has no server-side access to the Customer's data.

4. Pricing and Payment

The current subscription fee is €25 per year (incl. statutory VAT where applicable), billed as a recurring annual subscription via Paddle. The current price is shown during checkout.

5. Free Trial

New customers receive a free 30-day trial from the start of the subscription. A payment method is collected at the start of the trial; unless cancelled during the trial, the regular annual price becomes due at the end of the trial and the subscription continues automatically.

6. License Scope

On completing a subscription, the Customer receives a simple, non-transferable right to use the Software for the duration of the subscription.

One license permits installation and use by a single individual (e.g. a freelance filmmaker) or a small team of up to two people working from the same installation and the same local project data. Sharing the license key beyond this scope, or running multiple independent installations under the same license, is not permitted.

Reverse engineering, decompiling, or redistributing the Software is prohibited except where expressly permitted by mandatory law.

7. Data Storage and Backup

All project data is stored exclusively on the Customer's own device. The Provider has no access to this data and cannot recover it in the event of data loss (e.g. hardware failure, accidental deletion, device theft).

The Software includes a manual backup feature ("Create backup" / "Restore from backup" in Settings). It is the Customer's sole responsibility to create backups regularly and store them in a safe, separate location. The Provider is not liable for data loss except where caused by the Provider's gross negligence or intent.

8. Term, Cancellation, Auto-Renewal

The subscription automatically renews for a further year unless cancelled before the end of the current period. Cancellation is done via Paddle's customer self-service portal (linked in your confirmation/receipt email) or informally by email to support@tangojulietapp.com. After cancellation, use remains possible until the end of the already-paid period; the license key is then deactivated and the Software can no longer be activated. Locally stored data remains on the Customer's device.

9. Right of Withdrawal

Consumers within the EU generally have a 14-day right of withdrawal from the conclusion of the contract. For digital content not supplied on a physical medium, this right expires early if the Customer has expressly consented to immediate performance and confirmed that they thereby lose their right of withdrawal. Further details are governed by Paddle's purchase terms, shown during checkout.

10. Warranty and Liability

The Software is developed to current technical standards; error-free operation, and in particular the fulfilment of the Customer's individual expectations, cannot be guaranteed. The Provider is liable without limitation for intent and under the mandatory provisions of applicable product liability law. This liability cannot be limited under applicable law.

Beyond this, a distinction is made between whether the Customer is acting as a consumer (acquiring the Software for a purpose outside their trade or profession) or as a business (acquiring it within their trade or profession, e.g. as a production company, freelancer, or studio). As Tango Juliet is designed as a tool for managing film productions, purchases are typically made in a business capacity.

a) Customer is a consumer: The Provider is additionally liable without limitation for gross negligence. For ordinary negligence, the Provider is only liable for breach of material contractual obligations, and liability is capped at the amount paid by the Customer in the current subscription year.

b) Customer is a business: Liability for ordinary negligence is fully excluded. Liability for gross negligence is capped at the amount paid by the Customer in the current subscription year. The Provider is not liable for lost profits, indirect damages, or consequential damages (e.g. production delays, lost business), to the extent permitted by law.

Liability for data loss is additionally governed by Section 7 above.

11. Changes to these Terms

The Provider may amend these terms with effect for the future where necessary to reflect changed legal or technical circumstances. Customers will be informed of material changes by email.

12. Final Provisions

These terms are governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the consumer's country of habitual residence remain unaffected. The place of jurisdiction for disputes with business customers is Altenmarkt im Pongau, Austria.
